The long wait around the NSE IPO may finally be entering its decisive phase. After years of delays, regulatory hurdles, and uncertainty, a major breakthrough has come with the approval of the Sebi NSE settlement amount of Rs.1,800 crore. Now, this move can reshape the long-holding NSE own IPO and possibly benefit long-time stakeholders. What Exactly Happened?

The long-delayed NSE IPO has taken a major step forward after a key regulatory breakthrough. SEBI’s High Powered Advisory Committee (HPAC) has approved NSE’s settlement proposal worth around Rs. 1,800 crore. This is likely one of the largest settlement amounts in India’s capital market history.

This settlement is linked to long-pending regulatory issues, primarily the colocation and dark fibre cases, which had been the biggest obstacle delaying the NSE IPO since 2016. The recommendation by the panel will now be reviewed by SEBI’s 2 whole-time members for final approval.

According to the Economic Times, this expert committee was chaired by former Chief Justice of the Calcutta High Court Jai Narayan Patel, along with other top officials. This possibly indicates the seriousness and scale of the matter and might potentially clear the path for the much-awaited NSE own IPO.

What Was The Co-location Case? 

The NSE colocation scandal claims that certain brokers were allegedly given preferential access to NSE’s trading servers. This might raise serious concerns around fair market access and governance lapses. Also, the dark fibre case involved allegations around unauthorized or unfair use of network infrastructure, further intensifying regulatory scrutiny.

NSE filed an application for an IPO in October 2016, but SEBI halted NSE’s IPO approval process, likely due to these cases. The exchange faced multiple investigations and compliance reviews. Progress remained stalled for years due to regulatory hurdles. Still, momentum picked up, likely after Tuhin Kanta Pandey took charge as the chief of the Securities and Exchange Board of India (SEBI) in March 2025. Under his leadership, SEBI formed an internal review committee to reassess the long-pending NSE IPO issue.

To resolve these disputes, NSE proposed a settlement of Rs.1,165 crore for the colocation-related matter and Rs.223 crore for another case. Combined with other components, the total Sebi NSE settlement amount reached Rs. 1,800 crore

How Does It Affect NSE Own IPO?

The approval of the Sebi NSE settlement amount of Rs. 1,800 crore significantly strengthens the case for the long-pending NSE own IPO. By resolving key regulatory issues like the colocation and dark fibre cases, the NSE might remove its biggest listing hurdle, likely improving investor confidence and reducing legal uncertainty. It might also increase the chances of faster clearance from SEBI.

Possible Financial Relief For PSU Insurers

The NSE IPO PSU insurers show a possible potential financial boost for state-owned insurance companies through the upcoming NSE own IPO. Key stakeholders, like the National Insurance Company, Oriental Insurance Company, and United India Insurance Company, collectively hold around 7.5 crore shares in the NSE.

At an estimated NSE unlisted share price of around Rs. 1,956.82 per share, their combined stake could be valued at approximately Rs. 11,500-Rs. 12,000 crore. This implies a potential gain of nearly Rs. 4,000-Rs. 4,500 crore per insurer, likely offering meaningful financial relief to these PSU insurers that have been under balance sheet pressure.

Importantly, the recent progress on the Sebi NSE settlement amount of Rs. 1,800 crore further strengthens the possibility of an NSE IPO moving forward. If the listing happens, it will possibly improve capital positions and provide liquidity to these insurers through stake dilution.

When Is NSE Own IPO Coming?

The timeline for the NSE own IPO finally appears to be taking shape. As per recent updates, the NSE is likely to file its DRHP by June 2026. Earlier delays were largely due to regulatory hurdles, but the progress on the Sebi NSE settlement amount of Rs. 1,800 crore has likely improved the overall picture.

The IPO is expected to be structured as a pure Offer for Sale (OFS), meaning no fresh capital will be raised. Existing shareholders, including key stakeholders such as PSU insurers, which is a crucial angle in the nse ipo psu insurers theme, are likely to dilute around a 4-4.5% stake. The overall IPO size is estimated to be around Rs. 23,000 crore, possibly making it one of India’s largest public offerings.
