The Tata Group, India’s leading conglomerate, is gearing up for an IPO of its financial services arm, Tata Capital. This move is highly anticipated and is considered to be one of the largest in the industry.

While Tata Capital is headed for the public markets, Tata Sons, the holding company of the Tata Group, will remain unlisted. Tata Sons currently holds a hefty 95% stake in Tata Capital. This fact underscores Tata Capital’s critical position within the conglomerate’s extensive portfolio of companies.

NBFC classification

As per the regulations by the Reserve Bank of India, both Tata Sons and Tata Capital are classified as upper-layer Non-Banking Financial Companies (NBFCs). The shares are to be listed before September 2025.

Once an NBFC is classified as Upper Layer (NBFC-UL), it becomes subject to additional regulatory requirements. It is also required to be listed within three years of being classified as such.

Projected Timeline and Intent

If all goes as planned, the IPO could potentially be introduced to the market by the year-end. In addition to this, the conglomerate may transfer some of its non-core assets to Tata Capital.

As per RBI regulations, Tata Sons is required to go public before September of the current year. However, the conglomerate is willing to pay off any outstanding borrowings to secure exemptions from these RBI regulations.

The motive behind the IPO is to restructure the operations of the company and transition it to a public entity. Interestingly, this will be the first public offer post the Tata Technologies IPO, which has gained substantial investor attention.

Currently, Tata capital share is not listed and traded in the unlisted share market.

  • Company Assets Under Management (AUM) surged from ₹51,847 Crores in 2016-17 to ₹1,16,756 Crores in 2022-23.
  • The revenue has seen a considerable rise, going from ₹6,324 Crores to ₹13,637 Crores. 
  • The Profit After Tax (PAT) has also experienced a substantial increase, moving from ₹459 Crores to ₹2,946 Crores.
