TL;DR
Indian Gas Exchange received SEBI’s final observation for its IPO on 12 October 2026.
The issue consists entirely of an Offer for Sale (OFS) of up to Rs.1.67 crore equity shares by Indian Energy Exchange (IEX).
The company previously targeted December 2026, but the official opening date and price band remain unannounced.
SEBI Approves Indian Gas Exchange IPO
The Securities and Exchange Board of India (SEBI) gave final observation on October 12, 2026, giving the Indian Gas Exchange IPO the green light. This is a major development for the natural gas trading platform which filed its Draft Red Herring Prospectus (DRHP) in July 2026.
The proposed IPO involves an Offer for Sale of up to 1,67,10,000 (~ 1.67 crores) equity shares by promoter Indian Energy Exchange Limited (IEX). The issue will not raise fresh capital for IGX. Instead the proceeds will go to IEX, which is reducing its shareholding to comply with applicable gas exchange regulations.
The company has yet to announce its IPO subscription dates, price band, and listing date. (Source: Rediff)

Why is IEX selling off through the IGX IPO?
The main objective of the IPO is to enable Indian Energy Exchange to comply with regulatory shareholding norms and to make IGX a publicaly listed company.
Under the Gas Exchange Regulations of the Petroleum and Natural Gas Regulatory Board, one entity cannot own more than 25% equity of a gas exchange after the prescribed five-year period.
IGX was launched in November 2019 by IEX, which has a 47.28 percent stake in the equity of IGX. The proposed OFS will enable IEX to dilute up to 22.28% of IGX’s total equity to bring down its shareholding to around 25%, assuming the entire proposed sale takes place.
As per the annual report of IEX for financial year 2026, PNGRB was granted extension till 31st December 2026 for completion of mandated reduction in stake. The IPO is thus very much about regulatory compliance and not about raising funds for business expansion.
How will the proceeds of the Indian Gas Exchange IPO be used?
Since the offering comprises only existing shares, IEX will receive the sale proceeds after applicable expenses.
IGX will not receive fresh capital from the transaction. However, the company expects its public listing to improve its market visibility, brand recognition and access to a broader shareholder base.

After the proposed IPO, IEX's shareholding is expected to decline to 25%. The company's total outstanding share count will remain unchanged at 7.5 crore because no fresh equity is being issued.
The final post-IPO shareholding pattern will be confirmed after allotment.
Indian Gas Exchange business model and revenue sources
Indian Gas Exchange is India's first and only authorised national-level physical delivery-based natural gas trading exchange, according to its DRHP. Incorporated in November 2019, the company launched its electronic trading platform in June 2020 and received PNGRB authorisation in December 2020.
IGX provides a marketplace where natural gas producers, marketers, distributors and industrial consumers can trade standardized gas contracts. Unlike financially settled trading markets, IGX facilitates contracts involving the physical delivery of natural gas through India's pipeline infrastructure.
Its trading products include intraday, day-ahead, daily, weekly, monthly and longer-duration contracts, including forward contracts of up to six months. The exchange operated through 19 delivery points across India as disclosed in its DRHP.
How does IGX generate revenue?
There are various ways in which IGX makes money:
Transaction fees charged on natural gas transactions conducted via its electronic platform.
Subscription and membership charges from registered trading participants.
Transfer and Processing Charges from additional exchange related services rendered.
So its operating revenue comes partly from trading volumes. The more natural gas is traded on the platform, the higher the income from transactions.

Latest IGX Trading Volumes: H1 FY 27 and September 2026
According to the October 2026 gas market update, the exchange recorded:
Indicator | Reported performance |
H1 FY27 traded volume | 69.52 million MMBtu |
H1 FY27 year-on-year growth | 70.78% |

What should investors look for before the IGX IPO?
SEBI’s observations take the IPO to the next stage but there are a few things that need attention before investors take a decision.
Prospects-
Established market position: IGX has an edge of being India’s first authorized national-level physical delivery based gas exchange.
Rising trading activity: The trading numbers for FY26 and H1 FY27 show increasing activity on the exchange.
Profitable operations: IGX has reported increasing profits and high disclosed EBITDA margins.
Sector opportunity Potential for more natural gas trading on a market basis could support future exchange volumes.
Main investment risks
Revenue concentration: The top 10 participants contributed 66.47% to the revenue from operations in FY26.
Gas supply disruptions: Changes in global LNG supply and availability can affect trading volumes.
Regulatory dependence: the operations of the exchange may be affected by government policy, gas pricing rules and PNGRB regulations.
Valuation uncertainty: The final IPO price band is not yet available and the attractiveness of the offer is hard to assess.
No new capital: IGX does not get additional money from the OFS structure to grow.
Conclusion
Indian Gas Exchange and its sponsor Indian Energy Exchange today reached a key milestone as SEBI issued its observations for the IGX IPO on 12 October 2026. The proposed public issue will allow IEX to reduce its holding from 47.28% to 25% while providing a route for IGX to enter the listed equity space.
The improving scale of the company’s business is reflected in IGX’s financial performance in FY26, which includes a total income of Rs.84.84 crore and profit after tax of Rs.42.02 crore.
Its recent rise in trading volume is another development investors will want to watch.
But the key announcements on final IPO valuation, price band, subscription dates and listing schedule are still awaited.Investors must take these factors into consideration alongside the company’s earnings, regulatory exposure and growth prospects.
