The round is expected to draw from existing backers to include Glade Brook, Goodwater Capital, General Catalyst, and Nexus Venture Partners, with a stated priority on boosting domestic shareholding. Zepto plans to close this pre-IPO round within a couple of weeks before filing its RHP with SEBI.

The Real Red Flag for Investors in Zepto IPO
Burn Rate: Incoming institutional investors flagged the real concern at which Zepto has spent funds. The company was burning through more than Rs.900 crore every quarter, leaving it with only about three quarters of cash at that rate. It meant that investors were essentially being asked to price an IPO for a company less than a year away from needing fresh capital if losses continued unchecked.
Not a great improvement: That burn has since been brought down to roughly Rs.700 crore a quarter, extending runway by an extra couple of quarters, but it clearly wasn’t enough to convince mutual funds to back the higher IPO valuation.
Quick Commerce economics are structurally burn-heavy: Dark store expansion, deep discounting, and hyper-fast delivery logistics require continuous cash injection, making burn rate a more scrutinised metric here rather than in asset-light business model.
