The NSE is getting closer to its much-awaited IPO, and its possible valuation is now becoming clearer. NSE has completed its initial IPO roadshows and started its formal valuation exercise. According to a recent LiveMint report, strong institutional interest could push the IPO price towards Rs. 2,500-Rs. 2,800 per share. With the IPO expected to move ahead in the coming weeks, here are the key numbers and what they could mean for investors. 

NSE IPO: From Rs.5 Lakh Cr Up to Rs.7 Lakh Cr? 

NSE filed its DRHP in June 2026 for an IPO comprising an Offer for Sale (OFS) of up to 14.89 cr shares, or around 6% of the exchange. At that time, market estimates placed NSE's valuation at around Rs.5 lakh cr. The latest roadshow update has changed the discussion. According to LiveMint, institutional demand could push the IPO price toward Rs. 2,500-Rs. 2,800 per share. Using NSE's 247.50 cr outstanding shares, the implied valuation would look like this:

As of August, the NSE unlisted share price is around Rs.1,958.67 per share. At that price, NSE's implied valuation is around Rs.4.85 lakh cr. If the reported Rs.2,500-Rs.2,800 IPO price range eventually materializes, the implied valuation could move to around Rs. 6.2- 6.9 lakh cr. This would mean the reported IPO range represents a potential valuation that is around 28% to 43% higher than the valuation implied by the August NSE unlisted share price. However, unlisted shareholders should not treat this as a guaranteed return. The IPO price has not been finalised, and the listing price may differ from the IPO price.

Why Is NSE's IPO Valuation Rising?

The latest valuation discussion comes after NSE completed its initial roadshows with institutional investors. NSE executives met 120 global investors out of a targeted 150 during the roadshow process. The exchange also reportedly received around $1 billion, or nearly Rs.10,000 cr, in commitments from QIBs. Some investors reportedly showed interest in the upper end of the expected price range.

However, this does not mean that NSE has fixed its IPO price at Rs.2,800. The report clearly states that the valuation range can change, with domestic investor demand being an important factor. The formal valuation process is expected to take around two weeks, according to the report.

What Does NSE's Current Financial Performance Say?

NSE's valuation should also be viewed alongside its financial performance. For FY26, NSE reported:

Revenue from operations declined around 3% from Rs.17,141 cr in FY25, while consolidated profit declined around 15% from Rs.12,188 cr. Despite the decline, NSE still made over Rs.10,000 cr in consolidated profit in FY26. This matters because the valuation is not based only on what NSE earns today. Investors are also looking at its strong market position and how much it can earn in the future.

NSE IPO Structure: What Investors Should Know

The structure of the NSE IPO is purely an OFS (Offer For Sale). Under the DRHP, existing shareholders are looking to sell up to 14.89 crore shares, representing around 6% of NSE. There is no fresh issue. This means NSE itself will not receive fresh capital from the IPO. The money raised through the share sale will go to the existing shareholders selling their shares. The proposed IPO is planned for listing on the BSE.

The long-delayed NSE IPO first filed its IPO papers in 2016. But due to regulatory issues and a management overhaul, the listing plan was put on hold. Finally, NSE reached a Rs.1300 cr settlement with SEBI in January 2026, clearing the hurdles in order to refile the IPO papers. Hence, the exchange is targeting to launch the IPO around mid-September 2026.

How Can NSE’s Valuation Be Supported?

Several factors are likely to support investor interest in NSE:

  • Robust Profitability: In FY26, net profit of NSE reached around Rs.10,370 cr, despite a decline in operations.

  • Market Position: NSE dominates the market, capturing around 93% of India’s total cash equity trading volume.

  • Institutional demand: The latest roadshows have reportedly brought in some Rs.10,000 crore worth of QIB commitments.

  • Strong cash generation: NSE’s business has historically generated substantial cash, which supports its financial strength.

What Could NSE's IPO Valuation Mean for Investors?

The reported Rs. 2,500- Rs. 2,800 IPO price could put NSE's valuation at around Rs. 6.2- Rs. 6.9 lakh cr, compared with around Rs. 4.85 lakh cr at the August unlisted price of Rs. 1,958.67. This means the possible IPO valuation is around 28%-43% higher than the valuation implied by the current unlisted price. However, the difference between the unlisted price and the possible IPO price does not mean investors will earn the same percentage. The final IPO price, 48.50x PE, future earnings and actual listing price will all matter. Investors should therefore consider the valuation alongside what they are paying for NSE's earnings before making a decision.
